Terms of Service
The agreement between you and CloudIP for using the platform.
Acceptance of terms
By creating a CloudIP account or using the CloudIP platform, you accept these terms of service. If you do not accept them, do not use the platform.
The service
CloudIP provides software-as-a-service applications and related cloud infrastructure for backup, accounting, CRM, HR, communications, e-commerce, POS, productivity, and related business operations.
Specific features depend on the plan you select. Some features are made available in beta or preview status; those features are clearly identified in the product and are not warranted to perform at the same level as generally available features.
Payment
Subscription fees are billed in advance for the period you select.
You authorize CloudIP to charge the payment method on file for the recurring subscription fees.
Late payments may result in suspension of access to paid features. We will notify you before suspension and give you a reasonable opportunity to cure.
Acceptable use
Do not use the platform to violate applicable law, infringe intellectual property rights, transmit malware, or attempt to disrupt the security or integrity of the service.
Do not attempt to gain access to data or accounts that do not belong to you. Authorized security research is welcome at security@cloudip.com under coordinated disclosure.
Your content
You retain ownership of the content you put into CloudIP. You grant us only the rights necessary to operate the service for you, including storing, transmitting, and displaying your content as you direct.
You are responsible for the lawfulness of the content you upload and for compliance with applicable laws and contractual obligations relating to that content.
Warranty disclaimer
The platform is provided on an "as is" and "as available" basis. While we work hard to keep the platform reliable and secure, we do not warrant that it will be uninterrupted or error-free.
Beta and preview features are provided without warranty of any kind, and may be modified or discontinued at any time.
Limitation of liability
To the fullest extent permitted by applicable law, CloudIP's aggregate liability for any claim arising from or relating to the service is limited to the amount you paid us for the service in the 12 months preceding the claim.
Neither party is liable for indirect, incidental, or consequential damages, including loss of profits, except where excluded by mandatory applicable law.
Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your account if you materially breach these terms after notice and a reasonable opportunity to cure.
On termination, you have 30 days to export your data; thereafter your customer content is purged in accordance with our privacy policy.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.
Changes to these terms
We may update these terms from time to time. Material changes will be notified via the in-product notification system or by email at least 30 days before they take effect.
